Terms & Conditions

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you” or “Customer”), and FocusApp (“FocusApp”, “we”, “us” or “our”) governing your access to and use of the FocusApp website, platform and related services (collectively, the “Services”). By registering for, accessing or using the Services, you agree to be bound by these Terms. If you are accepting on behalf of an organisation, you represent that you are authorised to bind that organisation.

1. Definitions

• “Account” means the account you register to access the Services.
• “Workspace” means the isolated instance (subdomain) provisioned for your organisation.
• “Customer Data” means the data you or your users submit to or generate within the Services.
• “Subscription” means the paid or complimentary plan under which you use the Services.

2. Eligibility & accounts

You must be at least 18 years of age and capable of forming a binding contract to use the Services. You agree to provide accurate and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your Account. Notify us promptly at support@focusapp.cloud of any unauthorised use.

3. Subscriptions, plans & trials

The Services are offered under various Subscription plans described at the point of sign-up. Where a free trial is offered, the Services will convert to a paid Subscription at the end of the trial unless cancelled beforehand, and the applicable fees will become payable. We may change plan features and pricing on a prospective basis; changes will not affect the plan you have already paid for during its then-current term.

4. Fees, billing & taxes

You agree to pay all fees for the plan you select. Unless stated otherwise, fees are quoted in Indian Rupees (₹) and are exclusive of applicable taxes (including GST), which you are responsible for. Fees are billed in advance for the applicable Subscription period and, where a plan renews, will renew for successive periods of the same length until cancelled. Except as expressly stated in these Terms or as required by law, fees are non-refundable and payments are non-cancellable once made.

5. Payments

Payments are processed securely through our third-party payment gateway, Razorpay. By making a payment, you also agree to Razorpay’s terms and privacy policy. We are not responsible for the acts or omissions of the payment gateway. If a payment fails or is reversed, we may suspend or downgrade your access until the amount due is settled.

6. Refunds & cancellation

You may cancel your Subscription at any time, effective at the end of the current billing period; you will retain access until then. Unless required by applicable law or expressly agreed by us in writing, amounts already paid are non-refundable and cancellation does not entitle you to a refund for the unused portion of a period.

7. Acceptable use

You agree not to, and not to permit any user to:

• use the Services in violation of any applicable law or third-party right;
• upload unlawful, infringing, harmful or malicious content or code;
• attempt to gain unauthorised access to the Services, other accounts or our systems;
• reverse engineer, resell, or create derivative works of the Services except as permitted by law;
• interfere with or disrupt the integrity or performance of the Services; or
• use the Services to send unsolicited communications in breach of applicable law.

8. Customer Data & ownership

As between the parties, you retain all rights, title and interest in your Customer Data. You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the Services. You are responsible for the accuracy, quality and legality of Customer Data and for having the necessary rights and consents to submit it. Our handling of personal data is described in our Privacy Policy.

9. Intellectual property

The Services, including all software, text, graphics, logos and trademarks (excluding Customer Data), are owned by or licensed to FocusApp and are protected by intellectual-property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.

10. Service availability

We strive to keep the Services available and to provide reasonable prior notice of scheduled maintenance. However, the Services are provided on an “as available” basis and we do not warrant that they will be uninterrupted, timely, secure or error-free. We may modify, suspend or discontinue any part of the Services at our discretion.

11. Third-party services

The Services may integrate with or link to third-party products (such as payment, email or SMS providers). We are not responsible for third-party products, and your use of them is governed by their own terms.

12. Suspension & termination

We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay fees when due, or use the Services in a manner that may cause harm or legal liability. Upon termination, your right to use the Services ceases. We will, for a limited period and where reasonably practicable, make Customer Data available for export before deletion, after which it may be permanently deleted.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

14. Limitation of liability

To the maximum extent permitted by law, FocusApp shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill. Our aggregate liability arising out of or relating to the Services shall not exceed the total fees paid by you to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnity

You agree to indemnify and hold harmless FocusApp and its officers, employees and agents from any claims, damages, liabilities and expenses arising out of your Customer Data, your use of the Services, or your breach of these Terms or applicable law.

16. Governing law & jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to any applicable law, you agree that the courts at Bhadohi, Uttar Pradesh, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.

17. Changes to these Terms

We may revise these Terms from time to time. The revised Terms will be posted on this page with an updated “Last updated” date and, where the changes are material, we will provide notice through the Services or by email. Your continued use of the Services after the changes take effect constitutes acceptance.
